IMPORTANT: Please read the following terms and conditions (the "Terms"). These Terms govern your submission of Ideas, concepts, techniques, inventions, works of authorship or other works (each a "Submission") to Idealink Open, Inc., its parent, affiliate and subsidiary entities (collectively, "BrainBank"). By clicking the "I Agree" button below, you agree that you have read, understand and intend to be bound by these Terms. If you do not agree to the Terms, please exit this page and do not submit your Submission to BrainBank.
Submissions. You acknowledge that the Submissions that you provide will not be considered confidential by BrainBank and BrainBank is under no obligation to keep such information confidential. Notwithstanding the foregoing, you agree that you will maintain your Submission as confidential and will not use or disclose the Submission, in whole or in part, to any third party.
Ownership of Submissions. By submitting a Submission to BrainBank, you hereby irrevocably assign and transfer and agree to assign and transfer to BrainBank in perpetuity your entire right, title and interest in the Submission and any and all Intellectual Property included in the Submission as and when those rights arise, including, without limitation, all worldwide rights in any and all media now known or later developed and all rights of action against third parties you had, have, or may have, now or in the future in the Intellectual Property. You acknowledge and agree that BrainBank shall have, without limitation, the unlimited, worldwide right with respect to the Submissions and Intellectual Property, including: (i) to secure statutory copyrights and renewals, reissues, and extensions of copyrights and the right to prepare derivative works or adaptations therefrom; (ii) to use and reproduce the Intellectual Property; (iii) to distribute copies of the Intellectual Property; (iv) to perform the Intellectual Property, including, without limitation, digital transmissions of the Intellectual Property through an interactive or subscription service; (v) to display the Intellectual Property; (vi) to apply for and obtain patents (including continuation, continuation-in-part, divisional, reissued and reexamined patents) in any country in the world; (vii) to make, have made, use, offer for sale, sell and import the Intellectual Property; and (viii) to any and all trademark, service mark, and/or trade dress rights in and/or pertaining to the Intellectual Property, along with the goodwill associated therewith, which interests and rights shall be held and enjoyed by BrainBank to the full end of the term for those rights, including copyrights or any renewal or extension thereof that are or may be granted, and to the full end of the term for any patents (including all continuation, continuation-in-part, divisional, reissued and reexamined patents) that are or may be granted. "Intellectual Property" means works of authorship, inventions (whether patentable or unpatentable), know-how, trade secrets, trademarks, trade dress, confidential information, discoveries, compositions of matter, domain names, data rights, short codes, moral rights, business methods, formulas, patterns, improvements, techniques, methods of manufacture and/or installation, products, devices, processes, concepts, ideas, designs, sketches, schematics, drawings, configurations, schedules, reports, research, studies, findings, business and market plans, computer programs and related source and object codes, literary works, pictorial works, graphic works, visual works, aural works, ornamental designs, or any combinations thereof.
